Welcome to IndyAlley. These Terms of Service ("Terms") govern your access to and use of the IndyAlley website, mobile applications, and all related products, services, features, and content (collectively, the "Platform").

Please read these Terms carefully before using our Platform.

About IndyAlley

IndyAlley is operated by IndyAlley Globalmart (OPC) Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in Chennai, Tamil Nadu, India.

IndyAlley is a technology-enabled e-commerce platform that connects authentic Indian brands, artisans, manufacturers, and businesses with customers across India and around the world. Through our Platform, customers can discover, purchase, and receive curated Indian products across multiple categories, while vendors are provided with technology, payment, logistics, marketing, and customer support services.

The services available through the Platform, including IndyAlley's role in facilitating transactions, are described in these Terms.

Acceptance of these Terms

By accessing or using the Platform, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Shipping & Delivery Policy, Returns & Refunds Policy, and any other policies or guidelines published on the Platform, each of which forms an integral part of these Terms.

Changes to these Terms

We may update these Terms from time to time to reflect changes in our business operations, services, legal or regulatory requirements, or Platform functionality.

When we make material changes, we will revise the "Last Updated" date at the beginning of these Terms and, where required by applicable law, provide additional notice through the Platform or by other appropriate means.

Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the revised Terms.

Eligibility & Your Account

Eligibility

To use the Platform, you must:

• Be at least 18 years of age or otherwise have the legal capacity to enter into a binding agreement under applicable law.
• Use the Platform only in accordance with these Terms and all applicable laws and regulations.
• Not be prohibited by law from accessing or using the Platform or purchasing products through it.
• Have the authority to act on behalf of any individual or business entity you represent, where applicable.
• If you are below the age required to create an account or enter into a binding agreement under applicable law, you must not create an account or use the Platform except where permitted by law with the involvement or consent of a parent or legal guardian.

Account Registration

Certain features of the Platform, including placing orders, tracking purchases, managing returns, and accessing account-related services, require you to create an IndyAlley account.

When creating an account, you agree to:

• Provide accurate, complete, and up-to-date information.
• Keep your account information current.
• Ensure that the information you provide is not false, misleading, or inaccurate.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out through your account.

You agree to:

• Keep your username, password, and other login credentials secure and confidential.
• Not share your account credentials with any other person.
• Notify IndyAlley promptly if you become aware of any unauthorised access to, or suspected security breach involving, your account.

Account Suspension & Termination

IndyAlley may suspend, restrict, or terminate your account, or limit your access to the Platform, where reasonably necessary, including where:

• You breach these Terms or any other applicable Platform policies.
• You provide false, inaccurate, or misleading information.
• We reasonably suspect fraudulent, unlawful, abusive, or unauthorised activity.
• Your account remains inactive for an extended period.
• Such action is required to comply with applicable laws, regulatory requirements, or lawful requests from government authorities.

You may close your account at any time by contacting our Customer Support team or by using any account closure options made available through the Platform.

Any suspension, restriction, or termination of your account will not affect any rights, obligations, or liabilities that accrued before the effective date of such action.

About IndyAlley & Our Services

Our Platform

IndyAlley is a technology-enabled e-commerce platform that connects customers with authentic Indian brands, artisans, manufacturers, and businesses. Through our Platform, customers can discover and purchase curated Indian products across multiple categories, while Vendors can showcase and offer their products to customers in India and around the world.

How IndyAlley Operates

Depending on the product or transaction, IndyAlley may operate under one or more of the following business models:

• Marketplace Model – IndyAlley facilitates transactions between customers and independent Vendors and may coordinate payment processing, order management, packaging, and logistics to enable the fulfilment of customer orders.
• Inventory-Led Model – For selected products, IndyAlley may procure and maintain inventory before offering such products for sale. In such cases, IndyAlley acts as the seller of record.

IndyAlley reserves the right to determine the applicable business model for any product or transaction.

Our Services

To support the operation of the Platform, IndyAlley may provide services including:

• Operating and maintaining the Platform and its technology infrastructure.
• Facilitating secure payment processing through authorised payment service providers.
• Coordinating packaging, shipping, and logistics.
• Providing customer support and grievance redressal services.
• Promoting products and improving product discovery through marketing and merchandising initiatives.

Our Role

Unless expressly stated otherwise, IndyAlley acts as a technology platform that enables customers to discover and purchase products from Vendors and facilitates various aspects of the transaction and fulfilment process.

The responsibilities of IndyAlley, Vendors, and customers in relation to products, orders, payments, shipping, returns, refunds, and international transactions are governed by these Terms and the applicable policies published on the Platform.

Products & Product Information

Product Listings

IndyAlley offers a curated selection of products from authentic Indian brands, artisans, manufacturers, and businesses. Product listings, descriptions, specifications, images, pricing, availability, and other product information are provided by the respective Vendor.

While we make reasonable efforts to present product information accurately, we do not independently verify the completeness, accuracy, or reliability of all information provided by Vendors.

Product Information

Each product listing may include, where applicable:

• Product descriptions, specifications, images, and other relevant product information.
• Vendor name and registered business address.
• Country of origin.
• Product pricing, including applicable taxes, charges, and shipping costs, where applicable.
• Estimated shipping and delivery timelines.
• Applicable certifications, licences, warnings, ingredients, materials, dimensions, care instructions, or other product-specific information.
  

Product descriptions, specifications, images, pricing, certifications, and other product-related information displayed on the Platform are provided by the respective Vendor. While IndyAlley makes reasonable efforts to present such information accurately, Vendors remain responsible for the accuracy, completeness, and compliance of the information they provide.

Customers are encouraged to review all product information carefully before placing an order.

Product Images & Representation

Product images are provided for illustrative purposes only. Variations in colour, texture, size, finish, packaging, and appearance may occur due to differences in display settings, photography, lighting conditions, handcrafted or artisanal production methods, or updates made by the Vendor or manufacturer.

Unless the product materially differs from its published description, such variations do not constitute a defect or misrepresentation.

Pricing & Availability

Unless otherwise stated, product prices are displayed in the applicable currency for your selected market and may include or exclude taxes, shipping charges, customs duties, or other applicable charges, as indicated on the relevant product listing or at checkout.

Product prices, availability, and specifications may change without prior notice. The price applicable to your order will be the price displayed at the time your order is placed and confirmed.

If a product becomes unavailable after an order is placed, or if a pricing error, typographical error, or other inaccuracy is identified, IndyAlley reserves the right to cancel the order and issue an applicable refund in accordance with these Terms.

Customer Responsibility

Customers are responsible for reviewing the product description, specifications, dimensions, materials, ingredients, compatibility, care instructions, warnings, certifications, and any other relevant product information before placing an order.

If you require additional information about a product, please contact our Customer Support team before completing your purchase.

Orders & Payments

Placing an Order

To place an order through the Platform, you must:

• Select the products you wish to purchase and add them to your shopping cart.
• Provide accurate shipping, billing, and payment information during checkout.
• Review your order details, including the selected products, quantity, pricing, applicable taxes, shipping charges, and total amount payable.
• Complete the payment using one of the payment methods available on the Platform.

Once your payment has been successfully completed, you will receive an order confirmation via email, SMS, or other available communication channels.

Order Confirmation & Acceptance

Your order constitutes an offer to purchase the selected products and is subject to acceptance by IndyAlley and, where applicable, the relevant Vendor.

An order is considered accepted only after:

• Payment has been successfully processed and verified; and
• An order confirmation has been issued by IndyAlley.

The placement of an order does not guarantee its acceptance. IndyAlley reserves the right to accept, reject, cancel, or limit any order where reasonably necessary, including in cases involving product unavailability, pricing inaccuracies, suspected fraud, payment verification issues, or other legitimate operational or legal reasons.

Where an order is cancelled before fulfilment, any eligible refund will be processed in accordance with these Terms and the applicable Returns & Refunds Policy.

Payment Methods

We accept payment through the payment methods made available on the Platform from time to time, which may include:

• Credit and debit cards.
• Net banking.
• Unified Payments Interface (UPI).
• Digital wallets.
• International payment methods, where available.
• Other payment options displayed during checkout.

Available payment methods may vary depending on your location, currency, and the products ordered.

Payment Processing & Security

All payment transactions are processed through secure and authorised payment service providers using industry-standard security measures designed to protect your payment information.

To facilitate payment processing and fraud prevention, you authorise IndyAlley and its authorised payment service providers to collect, process, and store the information necessary to complete your transaction.

IndyAlley does not store your complete credit or debit card details or other sensitive payment credentials on its servers.

You are responsible for providing accurate payment information and ensuring that your selected payment method has sufficient funds or available credit to complete your order.

Pricing & Charges

Product prices are displayed in the applicable currency for your selected market and include or exclude taxes, shipping charges, customs duties, and other applicable charges as indicated on the relevant product listing or during checkout.

Any applicable payment gateway charges, convenience fees, or transaction processing fees will be disclosed before you complete your purchase.

The total amount payable will be displayed before you place your order, and no undisclosed charges will be added after your order has been confirmed.

If a pricing error, typographical error, or other pricing discrepancy is identified, IndyAlley reserves the right to correct the error and, where necessary, cancel the affected order. Any eligible refund will be processed in accordance with these Terms.

Failed or Declined Payments

If your payment cannot be successfully processed or is declined:

• Your order will not be confirmed.
• Any amount debited from your account will be refunded in accordance with the timelines of your payment service provider and applicable law.
• You may retry the payment using the same or an alternative payment method, or contact your bank or payment service provider for further assistance.

Shipping, Delivery & Returns

Shipping & Delivery

Our Shipping & Delivery Policy forms an integral part of these Terms and governs the processing, dispatch, shipping, delivery, tracking, customs, duties, taxes, and other matters relating to the fulfilment of orders placed through the Platform.

By placing an order, you acknowledge and agree that:

• Shipping methods, delivery timelines, and shipping charges vary depending on the product, Vendor, destination, and shipping option selected.
• Estimated delivery timelines are provided for convenience only and are not guaranteed.
• You are responsible for providing accurate and complete shipping information. IndyAlley is not responsible for delays or delivery failures resulting from incorrect or incomplete delivery details.
• International shipments may be subject to customs clearance procedures, import restrictions, duties, taxes, and other regulatory requirements imposed by the destination country.

Returns, Refunds & Cancellations

Our Returns, Refunds & Cancellations Policy forms an integral part of these Terms and governs the eligibility, process, conditions, timelines, and applicable requirements relating to returns, exchanges, refunds, store credits, and order cancellations.

By placing an order, you acknowledge and agree that:

• Returns, exchanges, refunds, and cancellations are available only in accordance with the applicable policy and the eligibility criteria specified for the relevant product.
• Certain product categories may not be eligible for return, exchange, or cancellation.
• Refunds are processed only after the applicable eligibility requirements and verification procedures have been completed, where applicable.
• Orders may be cancelled by IndyAlley or the relevant Vendor in circumstances including product unavailability, pricing errors, suspected fraud, or other legitimate operational or legal reasons.

International Orders

International Availability

IndyAlley offers international shipping to selected countries. The availability of products, shipping options, payment methods, and related services may vary depending on the destination country and applicable laws.

Certain products may not be available for purchase or shipment to specific destinations due to legal, regulatory, customs, logistics, or operational restrictions.

Customs, Duties & Import Requirements

For international orders, customers are responsible for complying with the import laws, customs regulations, product restrictions, and other legal requirements applicable in the destination country.

Unless expressly stated otherwise at checkout or on the relevant product page:

• Customs duties, import taxes, VAT, GST, brokerage fees, and other destination-country charges are the responsibility of the customer.
• Customs clearance procedures and processing timelines are determined by the destination country's authorities and are beyond IndyAlley's control.
• Failure to comply with applicable import requirements or to pay any applicable duties or taxes may result in delays, refusal of delivery, return of the shipment, or additional charges.

Where a product or order is expressly offered on a duties-paid or landed-cost basis, the applicable customs duties, import taxes, and other destination-country charges will be included in the upfront price, and no additional customs payment will be required from the customer unless otherwise specified.

International Compliance

Customers are responsible for ensuring that the products ordered may be lawfully imported, possessed, and used in the destination country.

IndyAlley reserves the right to refuse, restrict, or cancel any international order where fulfilment would violate applicable laws, export controls, sanctions, regulatory requirements, or other legal obligations.

International Deliveries

International deliveries are subject to customs clearance, carrier operations, local regulations, and other factors that may affect delivery timelines.

Intellectual Property

Platform Ownership

The Platform and all content made available through it, including its software, technology, design, layout, user interface, text, graphics, photographs, videos, logos, trademarks, service marks, databases, and other materials (collectively, the Platform Content), are owned by or licensed to IndyAlley and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any ownership rights or licences to use the Platform Content except as expressly permitted under these Terms.

Permitted Use

Subject to your compliance with these Terms, IndyAlley grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Platform solely for your personal, lawful, and non-commercial use.

You must not:

• Copy, reproduce, modify, adapt, translate, distribute, publish, or create derivative works from any part of the Platform or Platform Content.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of the Platform.
• Sell, lease, licence, sublicense, rent, or commercially exploit any part of the Platform or Platform Content.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
• Use the Platform or Platform Content for any unlawful or unauthorised purpose.

User Content

If you submit, upload, publish, or otherwise make available any content through the Platform, including reviews, ratings, comments, photographs, videos, feedback, or other materials ("User Content"), you:

• Confirm that you own or have all necessary rights, permissions, and authorisations to submit such User Content.
• Grant IndyAlley a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual, and irrevocable licence to use, reproduce, display, publish, distribute, modify, adapt, and otherwise use such User Content for the operation, improvement, promotion, and marketing of the Platform.
• Agree that your User Content must not infringe any intellectual property or other rights of any third party or violate any applicable law.

IndyAlley reserves the right, but is not obligated, to review, remove, edit, or disable any User Content that violates these Terms or is otherwise considered inappropriate or unlawful.

Vendor Content

Vendors retain ownership of their trademarks, product images, product descriptions, branding, and other content submitted to the Platform.

By listing products on the Platform, Vendors grant IndyAlley a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, distribute, and publish such content for the operation, promotion, marketing, and improvement of the Platform and its services.

Intellectual Property Infringement

IndyAlley respects the intellectual property rights of others and expects users and Vendors to do the same.

If you believe that any content available on the Platform infringes your copyright, trademark, or other intellectual property rights, please submit a written notice to our Grievance Officer containing:

• A description of the intellectual property right claimed to have been infringed.
• The URL or other information sufficient to identify the allegedly infringing content.
• Your name, contact information, and a statement of your good faith belief that the disputed use is unauthorised.
• A statement confirming that the information provided is accurate and that you are authorised to act on behalf of the rights holder, where applicable.

Upon receiving a valid notice, IndyAlley may investigate the matter and take appropriate action, including removing or disabling access to the allegedly infringing content where appropriate.

User Conduct

Acceptable Use

You agree to use the Platform responsibly, lawfully, and in accordance with these Terms and all applicable laws and regulations.

You must not use the Platform in any manner that could interfere with its operation, compromise its security, infringe the rights of others, or adversely affect the experience of other users or Vendors.

Prohibited Activities

When using the Platform, you must not:

• Violate any applicable law, regulation, or third-party right.
• Engage in fraudulent, deceptive, misleading, or unlawful activities.
• Upload, post, transmit, or share content that is false, defamatory, obscene, abusive, offensive, hateful, discriminatory, or otherwise unlawful.
• Infringe the intellectual property, privacy, publicity, or other legal rights of any person or entity.
• Upload or distribute viruses, malware, malicious code, or any technology intended to disrupt or damage the Platform.
• Attempt to gain unauthorised access to the Platform, user accounts, systems, networks, or data.
• Interfere with, disrupt, or impair the operation, security, or performance of the Platform.
• Use bots, spiders, crawlers, scrapers, automated tools, or similar technologies to access, monitor, copy, or extract information from the Platform without our prior written consent.
• Manipulate product listings, pricing, reviews, ratings, rankings, or other Platform features.
• Harass, threaten, intimidate, abuse, or impersonate any user, Vendor, employee, or third party.
• Circumvent or attempt to circumvent any security measures, authentication mechanisms, or technical restrictions implemented on the Platform.
• Encourage or facilitate transactions outside the Platform for products or services discovered through IndyAlley.
• Engage in any activity that may harm the reputation, integrity, security, or proper functioning of the Platform.

Reviews & User Content

Where you submit reviews, ratings, comments, feedback, photographs, videos, or other User Content, you agree that such content will:

• Be accurate and based on your genuine experience.
• Comply with these Terms and all applicable laws.
• Not contain false, misleading, fraudulent, defamatory, obscene, abusive, or unlawful material.
• Not infringe the intellectual property, privacy, or other rights of any third party.

IndyAlley reserves the right, but is not obligated, to review, moderate, remove, restrict, or disable any User Content that violates these Terms or is otherwise considered inappropriate, unlawful, or harmful to the Platform or its users.

Enforcement

Where we reasonably believe that you have violated these Terms or applicable laws, IndyAlley may take appropriate action, including:

• Issuing a warning.
• Removing or restricting access to content.
• Suspending or terminating your account.
• Restricting your access to the Platform or specific services.
• Reporting unlawful activities to the appropriate law enforcement or regulatory authorities.
• Taking any other action permitted under applicable law or these Terms.

Third-Party Services

Third-Party Service Providers

To operate the Platform and provide our services, IndyAlley works with trusted third-party service providers, including payment gateways, logistics and shipping partners, technology and hosting providers, analytics providers, communication services, and other business partners.

These service providers support the operation of the Platform and perform services on our behalf in accordance with applicable laws and contractual obligations.

Third-Party Platforms & Integrations

Certain features of the Platform may rely on or integrate with third-party platforms, applications, websites, or services. Your use of such third-party services may also be subject to their respective terms, conditions, and privacy policies.

IndyAlley does not control and is not responsible for the availability, content, policies, or practices of third-party platforms or services.

Payments & Logistics

Payment processing and logistics services are provided through authorised third-party service providers.

By placing an order, you authorise IndyAlley to share the information reasonably necessary to process payments, fulfil orders, arrange deliveries, prevent fraud, and provide customer support.

Third-Party Links

The Platform may contain links to third-party websites or services provided for your convenience.

The inclusion of any third-party link does not constitute an endorsement, recommendation, or approval by IndyAlley. Accessing or using third-party websites or services is at your own discretion and subject to the applicable terms and policies of those third parties.

Limitation of Responsibility

While IndyAlley carefully selects the third-party service providers it works with, we are not responsible for the availability, performance, security, or content of third-party services, nor for any loss or damage arising solely from your use of such services, except to the extent required by applicable law.

Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Platform, its content, products, and services are provided on an "as is" and "as available" basis without any express, implied, statutory, or other warranties, except where expressly stated otherwise.

Without limiting the foregoing, IndyAlley does not warrant or represent that:

• The Platform will be available at all times or operate uninterrupted, securely, or without errors, bugs, viruses, malware, or other harmful components.
• Any defects or errors in the Platform will be identified or corrected.
• The Platform, its content, or any information made available through it will always be accurate, complete, reliable, current, or suitable for your particular requirements.
• Product listings, descriptions, specifications, images, pricing, availability, Vendor information, or other content displayed on the Platform will always be accurate, complete, or error-free.
• Product colours, textures, dimensions, packaging, or appearance displayed on the Platform will exactly match the products delivered, as reasonable variations may occur due to display settings, photography, lighting conditions, handcrafted production methods, or manufacturer updates.

IndyAlley expressly disclaims, to the fullest extent permitted by law, all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, and reliability.

Product Warranties

Unless expressly stated otherwise, IndyAlley does not manufacture, inspect, test, certify, or independently verify the products offered through the Platform.

Accordingly, IndyAlley makes no representations or warranties regarding:

• The quality, safety, authenticity, merchantability, or fitness of any product for a particular purpose.
• Compliance of products with applicable quality standards, regulatory requirements, certifications, or destination-country import requirements.
• The accuracy of product descriptions, specifications, images, ingredients, materials, certifications, or other information provided by Vendors.
• The suitability of any product for use, consumption, or import in any particular jurisdiction.

Any warranties applicable to a product are provided solely by the relevant Vendor or manufacturer, where applicable.

For product-related concerns, customers may contact IndyAlley Customer Support, and where appropriate, IndyAlley may coordinate with the relevant Vendor to facilitate resolution in accordance with these Terms and our applicable policies.

Third-Party Services

The Platform may include or integrate with third-party services, payment gateways, logistics providers, communication services, websites, applications, or other technologies.

IndyAlley is not responsible for the availability, performance, security, content, privacy practices, or services of such third parties. Your use of third-party services is subject to their applicable terms and policies and is at your own discretion.

Nothing in these Terms excludes, limits, or restricts any consumer rights, statutory guarantees, or warranties that cannot be excluded or limited under applicable law.

Limitation of Liability

To the fullest extent permitted by applicable law, IndyAlley, its affiliates, directors, officers, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your access to or use of the Platform, the products purchased through the Platform, or these Terms, regardless of the legal theory on which the claim is based and even if IndyAlley has been advised of the possibility of such damages.

Without limiting the foregoing, IndyAlley shall not be liable for any:

• Loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.
• Business interruption or loss of use.
• Indirect or consequential losses arising from delays, service interruptions, system failures, or events beyond our reasonable control.

Maximum Liability

To the fullest extent permitted by applicable law, IndyAlley's total aggregate liability arising out of or relating to these Terms, the Platform, or any products or services provided through the Platform shall not exceed the total amount paid by you to IndyAlley for the order giving rise to the claim during the two (2) months immediately preceding the event giving rise to such claim.

Vendor Responsibility

Where products are supplied by independent Vendors, the relevant Vendor remains solely responsible for matters relating to:

• Defective, unsafe, counterfeit, or non-compliant products.
• Product quality, safety, performance, and regulatory compliance.
• Product liability, personal injury, or property damage arising from the product.
• Product descriptions, specifications, certifications, labelling, and representations provided by the Vendor.

Where appropriate, customers may contact IndyAlley Customer Support regarding product-related concerns, and IndyAlley may facilitate communication with the relevant Vendor. Nothing in these Terms shall make IndyAlley responsible for liabilities that are solely attributable to the relevant Vendor.

Exceptions

Nothing in these Terms excludes or limits liability for:

• Fraud, fraudulent misrepresentation, gross negligence, or wilful misconduct by IndyAlley.
• Death or personal injury caused by IndyAlley's negligence, where such liability cannot be excluded under applicable law.
• Any liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless IndyAlley, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your access to or use of the Platform.
• Your breach of these Terms or any policies incorporated into these Terms.
• Your violation of any applicable law or the rights of any third party, including intellectual property, privacy, or other proprietary rights.
• Any content, reviews, ratings, comments, photographs, videos, or other materials submitted or shared by you through the Platform.
• Any fraudulent, negligent, unlawful, or wilful misconduct by you.
• Any dispute between you and another user, Vendor, or third party arising from your use of the Platform.

This indemnification obligation will survive the suspension, termination, or closure of your account and the termination of these Terms.

By accessing or using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, processing, storage, and disclosure of your personal information in accordance with the Privacy Policy and applicable laws.

To provide and improve our services, IndyAlley may collect, process, and share your personal information with authorised Vendors, payment service providers, logistics partners, technology providers, and other service providers as described in our Privacy Policy.

Where permitted by applicable law, we may also use cookies, analytics tools, and similar technologies to enhance the functionality, security, performance, and user experience of the Platform.

Governing Law & Dispute Resolution

Governing Law

These Terms, your access to and use of the Platform, and any disputes arising out of or relating to these Terms or the Platform shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Good Faith Resolution

If a dispute, claim, or controversy arises in connection with these Terms or your use of the Platform, both parties agree to first make reasonable efforts to resolve the matter amicably through good faith discussions.

Where appropriate and mutually agreed, the parties may also attempt to resolve the dispute through mediation before initiating formal legal proceedings.

Arbitration

If a dispute cannot be resolved amicably, it shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

Unless otherwise agreed by the parties:

• The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties.
• If the parties are unable to agree on the appointment of the arbitrator within the period prescribed under applicable law, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996.
• The seat and venue of arbitration shall be Chennai, Tamil Nadu, India.
• The arbitration proceedings shall be conducted in the English language.
• The arbitral award shall be final and binding upon the parties and may be enforced by any court of competent jurisdiction.
• Unless otherwise determined by the arbitrator, each party shall bear its own legal costs, while the arbitrator's fees and arbitration costs shall be shared equally.

Nothing in this section prevents either party from seeking interim, injunctive, or other equitable relief from a court of competent jurisdiction where necessary to protect its rights or prevent irreparable harm.

Jurisdiction

Subject to the arbitration provisions set out above, the courts located in Chennai, Tamil Nadu, India shall have exclusive jurisdiction over any matters arising out of or relating to these Terms or the Platform.

General Terms

Entire Agreement

These Terms, together with our Privacy Policy, Shipping & Delivery Policy, Returns & Refunds Policy, and any other policies, guidelines, or legal notices published on the Platform and expressly incorporated by reference, constitute the entire agreement between you and IndyAlley regarding your access to and use of the Platform. They supersede all prior or contemporaneous agreements, communications, representations, and understandings relating to the same subject matter.

Severability

If any provision of these Terms is determined by a court or other competent authority to be invalid, illegal, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the affected provision shall be deemed severed from these Terms, and the remaining provisions shall continue in full force and effect.

Waiver

No failure or delay by IndyAlley in exercising any right, power, or remedy under these Terms shall constitute a waiver of that right, nor shall any single or partial exercise of any right prevent the further exercise of that or any other right or remedy.

Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of IndyAlley.

IndyAlley may assign, transfer, or delegate its rights or obligations under these Terms to any affiliate, successor, or entity resulting from a merger, acquisition, corporate restructuring, or sale of assets without your prior consent.

Force Majeure

IndyAlley shall not be liable for any delay, interruption, or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, governmental actions, labour disputes, failures of telecommunications or internet infrastructure, power outages, cyber incidents, or other Force Majeure events.

Notices to you may be sent to the email address, mobile number, or other contact details associated with your IndyAlley account or by posting a notice on the Platform, where permitted by applicable law.

Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and IndyAlley.

You access and use the Platform as an independent user and have no authority to act on behalf of or legally bind IndyAlley.

Language

These Terms are prepared and executed in the English language. If these Terms are translated into any other language, the English version shall prevail to the extent permitted by applicable law in the event of any inconsistency or conflict.

If you are a consumer residing in the European Union (EU), the European Economic Area (EEA), or the United Kingdom (UK), additional consumer rights and marketplace-specific terms apply to your use of the Platform.
