EU Consumer & Online Marketplace Terms

Introduction

Purpose

These EU Consumer & Online Marketplace Terms ("EU Terms") supplement the IndyAlley Terms of Service and apply to consumers residing in the European Union (EU), the European Economic Area (EEA), and the United Kingdom (UK) who access or use the Platform or purchase products for delivery to these jurisdictions.

These EU Terms are intended to provide additional information about your consumer rights and our obligations under applicable European and UK consumer protection, e-commerce, product safety, and digital services laws.

Relationship with the Terms of Service

These EU Terms form an integral part of the IndyAlley Terms of Service and should be read together with our:

  • Terms of Service
  • Privacy Policy
  • Shipping & Delivery Policy
  • Returns & Refunds Policy

Where these EU Terms conflict with the general Terms of Service, these EU Terms shall prevail to the extent necessary to comply with applicable laws in the EU, EEA, or the UK.

Who These Terms Apply To

These EU Terms apply only to:

  • Consumers who are habitually resident in the European Union (EU), the European Economic Area (EEA), or the United Kingdom (UK).
  • Orders delivered to the EU, EEA, or the UK.
  • Transactions that are subject to applicable EU or UK consumer protection laws.

For the purposes of these EU Terms:

  • Consumer means a natural person acting for purposes outside their trade, business, craft, or profession.
  • Online Marketplace means an online platform that enables consumers to conclude distance contracts with independent traders or businesses through a digital interface.

IndyAlley's Role

IndyAlley is a technology-enabled e-commerce platform that connects customers with authentic Indian brands, artisans, manufacturers, and businesses ("Vendors"), enabling them to discover and purchase products through a single online marketplace.

Depending on the product, transaction, or fulfilment model, IndyAlley may:

  • Facilitate the sale of products offered by independent Vendors through the Platform.
  • Sell products directly where IndyAlley acts as the seller of record.
  • Provide technology, payment processing, customer support, logistics coordination, and other services necessary to facilitate the purchase and delivery of products.

The role performed by IndyAlley for a particular transaction will be reflected on the relevant product page, order confirmation, invoice, or other transaction records, where applicable.

For products sold by independent Vendors:

  • The identity of the seller is clearly displayed on the relevant product listing.
  • The Vendor remains responsible for the products they offer, including product information, quality, safety, regulatory compliance, warranties (where applicable), and compliance with applicable laws.
  • IndyAlley facilitates the transaction and provides marketplace services but does not assume responsibility for obligations that remain the legal responsibility of the relevant Vendor, except where required by applicable law.

Importer of Record, Customs & Product Compliance

Importer of Record

Where products are shipped into the European Union (EU), the European Economic Area (EEA), or the United Kingdom (UK) from outside those jurisdictions, the customer will generally be the Importer of Record, unless IndyAlley, the Vendor, or another party expressly agrees in writing to assume that responsibility.

As the Importer of Record, you may be responsible for:

  • Completing customs clearance procedures.
  • Paying applicable customs duties, import taxes, VAT, and other destination-country charges, unless otherwise stated at checkout.
  • Complying with applicable import requirements and restrictions in the destination country.
  • Providing information reasonably requested by customs or other competent authorities.

Where an order is expressly offered on a duties-paid, landed-cost, or similar basis, the applicable customs duties, import taxes, and other destination-country charges will be included in the purchase price as indicated during checkout.

Product Compliance

Products sold through the Platform are supplied by independent Vendors.

Vendors remain responsible for ensuring that their products comply with applicable product safety, quality, labelling, certification, and regulatory requirements before the products are made available for sale through the Platform.

Where required for international shipments, IndyAlley may arrange for the translation of existing product labels or information into the language required by the destination country. Such translations are provided solely to improve accessibility and regulatory presentation.

Unless expressly stated otherwise, IndyAlley does not modify, certify, verify, or assume responsibility for the accuracy, completeness, or regulatory compliance of product labels, certifications, or other Vendor-provided information.

Regulatory Responsibilities

Customers are responsible for ensuring that products ordered through the Platform may be lawfully imported, possessed, and used in the destination country.

IndyAlley does not assume responsibility for:

  • Customs clearance procedures.
  • Import licences or regulatory approvals required by the destination country.
  • Compliance with destination-country import restrictions applicable after shipment.
  • Delays, additional charges, refusals of entry, confiscation, or other actions taken by customs or regulatory authorities, except where such responsibility is expressly assumed by IndyAlley or required under applicable law.

EU Consumer Rights

Consumers residing in the European Union (EU), the European Economic Area (EEA), or the United Kingdom (UK) may benefit from additional statutory rights under applicable consumer protection laws. These rights apply in addition to, and do not replace, any rights available under our Terms of Service or Returns & Refunds Policy.

Pre-Contract Information

Before you place an order, IndyAlley provides information required under applicable consumer protection laws, including, where applicable:

  • The identity and contact details of the seller.
  • The total price of the product, including applicable taxes, duties, fees, and other charges disclosed before checkout.
  • Shipping charges, delivery methods, and estimated delivery timelines.
  • Information regarding your right of withdrawal, return conditions, and any applicable return costs.

This information is also provided as part of your order confirmation.

Right of Withdrawal (Cooling-Off Period)

Unless an exception under applicable law applies, you have the right to withdraw from your purchase without providing any reason within 14 days from the date on which you, or a person nominated by you, receives the product.

To exercise your right of withdrawal, you may:

  • Submit a withdrawal request through your IndyAlley account, where available.
  • Contact our Customer Support team using the contact details provided on the Platform.

We will acknowledge receipt of your withdrawal request without undue delay.

Refunds Following Withdrawal

Where you validly exercise your right of withdrawal:

  • We will refund all payments received for the relevant order, including the cost of standard delivery, where required under applicable law.
  • Additional charges for premium or expedited delivery options selected by you may not be refundable.
  • Refunds will be processed using the original payment method unless you expressly agree to an alternative method.
  • We may withhold the refund until the returned products have been received or until you provide satisfactory evidence that the products have been returned, whichever occurs first.

Returning Products After Withdrawal

Where you exercise your right of withdrawal:

  • The products must be returned within 14 days from the date you notify us of your decision to withdraw.
  • Unless otherwise stated or required by applicable law, you are responsible for the direct cost of returning the products.
  • Where return costs cannot reasonably be calculated in advance, they will be disclosed before you complete your purchase.

Exceptions to the Right of Withdrawal

The statutory right of withdrawal does not apply to products or services excluded under applicable law, including, where applicable:

  • Perishable goods.
  • Sealed products that have been opened after delivery where return is unsuitable for health protection or hygiene reasons.
  • Personalised, customised, or made-to-order products.
  • Digital content supplied other than on a tangible medium where performance has begun with your prior express consent and acknowledgement of the resulting loss of the withdrawal right.
  • Other products or services excluded under applicable consumer protection laws.

Digital Withdrawal Function

Where required by applicable law, IndyAlley will make available an online function that enables eligible consumers to withdraw from a purchase electronically within the applicable withdrawal period.

Online Marketplace Transparency

Identity of the Seller

Each product listing clearly identifies the seller responsible for the product and indicates whether the seller is:

  • A trader (business); or
  • A non-trader (private individual), where applicable.

Where a product is sold by an independent Vendor, the relevant Vendor is responsible for the sale of the product and for complying with applicable legal obligations. The identity and contact details of the seller are provided on the relevant product page or during the checkout process.

Where a product is sold directly by IndyAlley, IndyAlley will be identified as the seller.

Product Ranking & Search Results

Where products are displayed in search results or category listings, IndyAlley will disclose the principal parameters used to determine the ranking of products, where required under applicable law.

Where personalised pricing or personalised product rankings are used, this will be clearly disclosed where required under applicable law.

Customer Reviews

Where customer reviews or ratings are displayed on the Platform, IndyAlley will disclose whether and how reasonable and appropriate measures are taken to verify that such reviews originate from customers who have purchased or used the relevant product.

Product Safety (GPSR)

  • IndyAlley cooperates with Vendors and competent authorities to remove or restrict access to products that may present a safety risk, in accordance with the General Product Safety Regulation (GPSR) and other applicable laws.
  • The Platform enables Vendors to display product safety information required under applicable law, including, where applicable, the manufacturer's or responsible economic operator's details, product safety warnings, and other mandatory product information.

Digital Services Act (DSA)

EU Point of Contact

IndyAlley maintains a designated point of contact for users and competent authorities regarding matters arising under the Digital Services Act (DSA). Where required by applicable law, IndyAlley will designate an EU legal representative for DSA purposes.

Know Your Business Customer (KYBC)

Before enabling traders to offer products to consumers in the European Union, IndyAlley verifies essential business information, including information about:

  • Business name and registered address.
  • Contact details.
  • Company registration and tax identification details.
  • Other information required under applicable law.

Vendors are required to keep this information accurate and up to date.

Notice & Action

EU users may notify IndyAlley of content or product listings that they believe are illegal, unsafe, or non-compliant by providing sufficient information to identify the relevant content or product.

IndyAlley will review such notices diligently and, where required under applicable law, take appropriate action and provide a statement of reasons for any applicable moderation decision. Where required, an internal complaint handling process will also be made available.

Transparency Reporting

Where required under applicable law, IndyAlley will publish transparency reports describing its compliance with the Digital Services Act (DSA), including, where applicable:

  • Orders received from competent authorities.
  • Notices submitted by users.
  • Content moderation actions.
  • Complaint handling outcomes.

Price Transparency

Where required under applicable law, IndyAlley will display the lowest price applied to a product during the 30 days preceding an advertised price reduction, subject to any applicable statutory exceptions.

Governing Law & Dispute Resolution

Governing Law

Nothing in the IndyAlley Terms of Service or these EU Consumer & Online Marketplace Terms limits or deprives consumers of the mandatory protections available under the laws of their country of habitual residence.

Where applicable, EU and UK consumers may bring proceedings before the courts of their country of habitual residence or the courts having jurisdiction over IndyAlley, in accordance with applicable consumer protection laws, including the Brussels I Recast Regulation or any equivalent legislation.

Alternative Dispute Resolution

References to the European Union's Online Dispute Resolution (ODR) platform have been removed following its discontinuation in 2025.

Where applicable, consumers may have access to alternative dispute resolution (ADR) mechanisms or other dispute resolution procedures available under the laws of their country of residence.

Statutory Consumer Rights

Nothing in these EU Consumer & Online Marketplace Terms affects any non-waivable statutory consumer rights available under applicable law.

We do not exclude or limit liability where such exclusion or limitation would be unlawful, including liability for death or personal injury caused by negligence or any mandatory consumer guarantees.
